Terms of Service

Plain English. The agreement between Arqo, Inc. (“Arqo,” “we”) and you when you use this product.

1. What Arqo provides

Arqo is a screenwriting application that lets you write, store, format, and export screenplays across mobile, desktop, and web. It includes optional AI features (suggestion, scene reports, voice-tuned drafting assistance) operated against third-party model providers.

We may add, change, or remove features at any time. We’ll give you reasonable notice before removing something you rely on.

2. Your account

You need an account to save scripts to the cloud. You agree to provide accurate information, keep your credentials safe, and tell us promptly if you suspect unauthorized access. You must be at least 13 years old to create an account.

One person per account. You can use Arqo on as many devices as you like under one account. Team accounts (when available) are governed by per-seat licensing — one paid seat per human user.

3. Your work stays yours

You own everything you write in Arqo. Full stop. We claim no authorship, no derivative rights, and no license to publish or sublicense your scripts. You can export your work at any time to FDX, PDF, or Fountain.

We will never use your scripts to train AI models that compete with you. The four vows on our manifesto page are contractually binding under these terms.

You grant us only the limited license needed to run the service — to store your scripts so you can retrieve them, to display them on your devices, to send them to AI providers you explicitly invoke. That license ends when you delete the script or close your account.

4. Acceptable use

You agree not to use Arqo to:

  • Violate any law or third-party right
  • Infringe copyright (don’t paste someone else’s screenplay and call it yours)
  • Generate sexual content involving minors
  • Generate content intended to harass, defame, or threaten an identifiable person
  • Reverse-engineer, scrape, or attempt to extract our source code or AI prompts
  • Resell access, share a single account across multiple users, or otherwise circumvent per-seat licensing
  • Interfere with the service’s operation (rate-limit evasion, DDOS, exploit hunting outside a coordinated disclosure)

We may suspend or terminate accounts that violate this section without refund. We’ll explain why in writing.

5. Subscriptions and payment

Paid plans are billed monthly or annually in advance through our payment processor, Paddle (Paddle.com Market Limited), who acts as merchant of record. Paddle handles tax, refunds, invoicing, and chargebacks on our behalf.

Subscriptions auto-renew at the end of each billing period unless you cancel. You can cancel any time from your billing dashboard; cancellation takes effect at the end of the current paid period.

We may change pricing for new subscriptions at any time. If we change pricing for an active subscription, we’ll notify you at least 30 days before the change takes effect so you can cancel before being charged the new rate.

Refunds are governed by our Refund Policy.

6. AI features

AI suggestions, scene reports, and voice-tuned drafting send relevant context (the scenes you’re working on, your character notes) to third-party model providers (currently Anthropic’s Claude family). We do not send your scripts to providers when you don’t actively invoke an AI feature.

AI output is suggestion, not authorship. You decide what goes into your draft; the words in any final script are yours. We do not warrant that AI suggestions are accurate, original, or fit for any purpose. Don’t blindly accept AI output as factually correct.

Per-tier monthly AI quotas apply. Free includes 50 calls/mo; Pro includes 3,000 standard calls + 100 deep calls; Team includes Pro plus 200 deep calls per seat. Quotas reset at the first of each calendar month UTC.

7. Service availability

We aim for high uptime but make no guarantee. Cloud sync depends on your internet connection and on third-party infrastructure (Supabase, Vercel). Your local copy of any script you’ve recently opened remains accessible offline.

Scheduled maintenance gets at least 24h notice when possible. Emergency maintenance does not.

8. Termination

You can close your account at any time. Within 30 days of account closure, we delete your scripts, account record, and associated AI usage data. Backups containing your data are cycled out within 90 days.

We may close your account for material breach of these terms (acceptable use, payment fraud, repeated unpaid invoices). When we do, we’ll explain why and give you at least 7 days to export your work, except where immediate suspension is necessary to protect the service or other users.

9. Disclaimers and liability

Arqo is provided “as is.” To the fullest extent allowed by law, we disclaim all warranties (merchantability, fitness for a particular purpose, non-infringement). Use of AI features is at your own discretion.

Our total liability for any claim arising from your use of Arqo will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) US$100. We are not liable for indirect, consequential, or incidental damages (lost profits, lost scripts you didn’t back up, lost opportunities).

Some jurisdictions don’t allow these limitations. In those, our liability is limited to the smallest amount the law allows.

10. Changes to these terms

We may update these terms. Material changes get at least 30 days’ notice via email and an in-app notice. Your continued use after the effective date means you accept the updated terms. If you don’t accept, close your account before the effective date for a pro-rated refund of unused paid time.

11. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, except that you may bring small-claims actions in your local jurisdiction.
